This agreement sets out the terms under which DentAura AI will provide digital services to Family Doctor Group. By signing below, both parties agree to the terms.
1Services & Fees

2Website Ownership
2.1Client Ownership
The website built and managed by DentAura AI is the sole property of Family Doctor Group at all times. This ownership is unconditional and does not depend on the continuation of any service agreement.
2.2Continuity of Ownership
Should this agreement be terminated by either party for any reason, Family Doctor Group retains full ownership of the website, all its content, images, pages and associated files. DentAura AI will not withhold, restrict or remove access upon termination.
2.3Handover on Termination
Upon termination, DentAura AI will provide a full handover within 7 days, including all login credentials, access details and any assets created during the engagement.
2.4Domain Ownership
The domain name (familydoctorgroup.co.uk) is and remains the property of Family Doctor Group. DentAura AI will never register, transfer or make changes to domain ownership without explicit written consent from the Client.
3Website Management
3.1Scope of Service
- Ongoing content updates: new pages, team bios, service edits and copy changes
- Performance monitoring and basic technical checks
- Blog content written and published on the Client's behalf
- Coordination with the Client on content priorities
3.2Client Responsibilities
The Client agrees to provide timely responses to requests for content, approvals, photos or information needed to complete updates. DentAura AI cannot be held responsible for delays caused by late provision of materials.
3.3Content Approval
Blog posts and significant content changes will be shared with the Client for approval before publishing, unless the Client has granted standing approval for DentAura AI to publish directly.
4SEO Optimisation
4.1Scope of Service
- A keyword ranking report showing FDG's position for agreed target search terms
- On-page SEO updates: page titles, meta descriptions, headings and body content
- Image optimisation: file naming, alt tags and compression
- Monthly recommendations based on ranking movements
4.2No Guarantee of Rankings
DentAura AI will use best practice SEO methods but cannot guarantee specific ranking positions on Google. Search engine algorithms are controlled by third parties and results may vary.
4.3Timeline
SEO results typically develop over 3 to 6 months. The Client understands that organic search improvement is a gradual process and not an immediate outcome.
5Google Business Profile Optimisation
5.1Scope of Service
- Full profile rebuild for each active FDG location
- Category selection, service descriptions and keyword integration
- Photo uploads, Q&A seeding and an initial posting cadence
- Setup of the profile to maximise local map pack visibility
5.2Access Required
The Client agrees to provide DentAura AI with manager-level access to the Google Business Profile account. DentAura AI will not take ownership of the profile at any point.
5.3One-Off Nature
This is a one-off service. Ongoing management of the Google Business Profile is not included unless separately agreed in writing.
6Payment Terms
6.1Invoicing
Invoices for monthly services will be issued on the 1st of each month and are due within 14 days of the invoice date.
6.2One-Off Payments
One-off fees (Google Business Profile Optimisation) are due upon invoice and work will commence upon receipt of payment.
6.3Late Payment
Invoices unpaid after 14 days may result in services being paused until payment is received. DentAura AI will provide written notice before pausing any service.
7Contract Term & Termination
7.1Initial Term
Website Management and SEO Optimisation are engaged for an initial period of 3 months at £250 per month. At the end of this period both parties will reassess.
7.2Notice Period
Either party may terminate any monthly service by giving 30 days' written notice via email or letter.
7.3Termination by the Client
The Client may cancel any service at any time with 30 days' notice. Any fees due for work completed during the notice period remain payable.
7.4Termination by the Provider
DentAura AI reserves the right to terminate services with 30 days' written notice. In the event of non-payment, DentAura AI may terminate services with immediate effect after providing notice of the outstanding balance.
7.5Assets on Termination
On termination, DentAura AI will return all assets, login credentials and materials belonging to the Client within 7 days. DentAura AI will not delete, alter or withhold any Client-owned content or data.
8Confidentiality
8.1Mutual Confidentiality
Both parties agree to keep confidential any commercially sensitive information shared during this agreement, including patient data, business strategy, pricing and internal processes.
8.2Data Protection
DentAura AI will handle any personal data in accordance with the UK GDPR and the Data Protection Act 2018. No patient data will be accessed, stored or used beyond what is strictly necessary to deliver the agreed services.
9Liability
9.1Limitation
DentAura AI's total liability for any claim arising from this agreement shall not exceed the total fees paid in the 3 months preceding the claim.
9.2Third Party Platforms
DentAura AI is not liable for changes made by third-party platforms including Google, WordPress or Lovable that affect the performance of services delivered under this agreement.
9.3Indemnity
The Client agrees to indemnify DentAura AI against any claims arising from content, imagery or information provided by the Client for use on the website, Google profiles or in advertising.
10General
10.1Amendments
Any changes to the services or fees must be agreed in writing by both parties before taking effect.
10.2Entire Agreement
This document constitutes the entire agreement between the parties in relation to the services described. It supersedes any prior verbal or written discussions.
10.3Governing Law
This agreement is governed by the laws of England and Wales.
11Signatures
By signing below, both parties confirm they have read, understood and agreed to the terms of this agreement. Dated 25 June 2026.
